Company incorporation in Pakistan is administered by the Securities and Exchange Commission of Pakistan. SECP currently states that name reservation and incorporation are end-to-end digitized and may be initiated through eZfile. The process operates under the Companies Act, 2017 and the applicable Companies Regulations, 2024.

Before Filing: Choose the Correct Company Type

The registration procedure should start with the legal structure rather than the portal. The structure affects ownership, governance, capital, future filings and the documents submitted to SECP.

Private Limited Company

A private company may be formed by two or more persons, subject to the Companies Act, 2017 and applicable requirements. Certificate of Incorporation after SECP Approval

Once the incorporation application has been approved and the applicable process is completed, SECP issues a digital Certificate of Incorporation. SECP's current guidance states that the digitally signed certificate is sent electronically and can also be accessed through the relevant online portal.

The company should verify the name, incorporation number and other particulars immediately and preserve the certificate with its permanent corporate records.

NTN Registration after Company Incorporation

SECP's current incorporation FAQs state that SECP data is integrated with FBR for company NTN registration. Information supplied during incorporation is forwarded to FBR, and the NTN is issued by FBR when complete and accurate information has been provided.

Incorporation and NTN issuance do not remove the need to review the company's ongoing tax position. After incorporation, verify the FBR profile, tax credentials, principal business activity and any separate sales tax or withholding obligations.
