SECP & Professional Fees - Complete Cost Guide:

How much does it cost to register a company in Pakistan? The total depends on the type of company, authorized share capital, number of directors, government charges and professional legal fees.

For budgeting purposes, a standard Single Member Company may cost approximately Rs. 63,200, including estimated registration expenses and professional fees. A Private Limited Company may cost approximately Rs. 96,200 to Rs. 106,200, with additional charges for more complex arrangements.

These figures are estimated service budgets, not fixed SECP government fees.

This guide explains each expense separately so you know what you are paying for.

1. Company Registration Fee Schedule  — 2026

The following schedule shows estimated registration budgets and A.A. Dewan & Co.'s professional charges.

Company TypeEstimated Registration ExpensesProfessional FeeEstimated Total
Single Member CompanyRs. 13,200Rs. 50,000Rs. 63,200
Private Limited — 2 directorsRs. 16,200–26,200Rs. 80,000Rs. 96,200–106,200
Private Limited — 3 directorsRs. 16,200–26,200Rs. 80,000Rs. 96,200–106,200
Private Limited — 4 directorsRs. 16,200–26,200Rs. 85,000Rs. 101,200–111,200
Private Limited — 5 directorsRs. 16,200–26,200Rs. 90,000Rs. 106,200–116,200

Important points:

  • Government and registration expenses are separate from professional fees.
  • The figures are estimates for planning and quotation purposes.
  • Actual SECP fees are determined by the applicable statutory schedule and filing requirements.
  • Professional fees for Private Limited Companies cover up to three directors at the stated base rate.
  • Each additional director after the third adds Rs. 5,000 to the professional fee.
  • Companies with higher authorized share capital or special documentation requirements may cost more.

2. Single Member Company (SMC) Registration Cost

A Single Member Company is suitable for a person who wants to establish a company with one shareholder.

Estimated SMC Registration Expenses

For an ordinary SMC with Rs. 100,000 authorized share capital, the working budget is:

  • Company incorporation and process-related challan budget: Approximately Rs. 12,000.
  • Company name reservation budget: Approximately Rs. 1,200.
  • Professional legal and registration services: Rs. 50,000.

Estimated total: Rs. 63,200.

This is a practical service budget. The actual SECP statutory challan may be different, especially when using online rather than physical filing.

What affects SMC costs?

Expenses may increase when:

  • Authorized share capital is higher.
  • Additional nominee or ownership documentation is required.
  • The shareholder is based outside Pakistan.
  • Foreign documents require attestation.
  • Additional business licences or compliance services are needed.

3. Private Limited Company Registration Cost

A Private Limited Company normally has two or more shareholders. It may be suitable for businesses involving partners, investors or a more complex ownership structure.

Estimated Private Limited Registration Expenses

For a standard engagement involving up to three directors, the budget is:

  • Company incorporation and process-related charges: Approximately Rs. 15,000–25,000.
  • Company name reservation budget: Approximately Rs. 1,200.
  • Professional legal services: Rs. 80,000.

Estimated total: Rs. 96,200–106,200.

The registration expense range is a planning estimate, not the fixed SECP rate for every Private Limited Company.

Higher authorized capital, filing requirements and other applicable charges may increase the total.

4. Additional Director Charges

A.A. Dewan & Co. applies the following professional fee structure for Private Limited Company registration.

  • 2 directors: Rs. 80,000 professional fee.
  • 3 directors: Rs. 80,000 professional fee.
  • 4 directors: Rs. 85,000 professional fee.
  • 5 directors: Rs. 90,000 professional fee.
  • 6 directors: Rs. 95,000 professional fee.
  • 7 directors: Rs. 100,000 professional fee.

Every director above the first three adds Rs. 5,000.

Simple Example

Suppose you want to register a Private Limited Company with five directors.

  • Base professional fee: Rs. 80,000.
  • Fourth director: Rs. 5,000 extra.
  • Fifth director: Rs. 5,000 extra.
  • Total professional fee: Rs. 90,000.
  • Estimated registration expenses: Rs. 16,200–26,200.

Estimated overall cost: Rs. 106,200–116,200.

The additional-director amount is a professional service charge. It should not be confused with a mandatory SECP fee for adding each director.

5. Official SECP Fees vs Estimated Registration Budgets

There is an important difference between an official SECP fee and an overall registration expense estimate.

Official SECP Government Fees

SECP fees are governed by the Seventh Schedule to the Companies Act, 2017, as amended.

The applicable government fees primarily depend on:

  • Authorized share capital.
  • Online or physical submission.
  • Name reservation.
  • Applicable statutory filing charges.
  • Additional filings or approvals, where required.

Under the April 2026 published fee schedule, the basic online incorporation fee for an ordinary company with authorized share capital up to Rs. 100,000 is Rs. 6,655. Online name reservation is Rs. 1,000, where separately applicable.

Other expenses may apply depending on the registration process.

Practical Registration Expense Budget

For client quotations, a broader working budget may be used to account for relevant process expenses.

Examples include:

  • Approximately Rs. 12,000 for an SMC incorporation process budget.
  • Approximately Rs. 1,200 for name reservation and incidental expenses.
  • Approximately Rs. 15,000–25,000 for certain Private Limited Company registration arrangements.
  • Higher expenses for larger or more complicated companies.

These estimated budgets must not be represented as the exact amounts prescribed by SECP.

The final statutory amount should be checked on the Official SECP Company Incorporation Fee Calculator.

6. How Authorized Share Capital Affects Registration Fees

Authorized share capital is the maximum amount of share capital a company is authorized to issue under its constitutional documents.

For example, a business may choose authorized share capital of:

  • Rs. 100,000.
  • Rs. 500,000.
  • Rs. 1,000,000.
  • Rs. 5,000,000.
  • Rs. 10,000,000 or more.

As authorized share capital increases, the applicable SECP incorporation fee can increase.

However, Rs. 100,000 authorized share capital does not mean the applicant must pay Rs. 100,000 to SECP as a registration fee.

Authorized share capital and the amount payable for registration are different things.

Similarly, authorized share capital is different from paid-up capital.

The correct capital structure should be selected based on the company's business plans and ownership requirements, rather than only trying to reduce registration charges.

For subsequent increases, use the SECP Authorized Share Capital Enhancement Fee Calculator.

7. What Do Professional Registration Fees Cover?

  • A lawyer or corporate consultant may provide services such as:
  • Advice on the appropriate company structure.
  • Review of proposed company names.
  • Preparation and review of incorporation documentation.
  • Memorandum of Association (MOA).
  • Articles of Association (AOA).
  • Shareholder and director information.
  • Online incorporation application preparation.
  • Submission of relevant SECP documents.
  • Assistance with SECP queries or objections.
  • Guidance concerning initial corporate compliance.

The exact services included in A.A. Dewan & Co.'s professional fee depend on the agreed engagement and written quotation.

Additional drafting, complex shareholders' agreements, special regulatory approvals or other services may be quoted separately.

8. Expenses That May Not Be Included

Company incorporation does not automatically cover every legal, tax or commercial requirement of a new business.

Additional expenses may include:

  • Sales tax registration.
  • Tax return preparation and annual tax compliance.
  • SECP annual filing and ongoing corporate compliance.
  • Shareholders' agreements or customized legal documents.
  • Business licences and regulatory approvals.
  • Foreign document attestation or legalization.
  • Banking-related charges.
  • Changes in directors, shareholders or authorized capital after incorporation.

Before paying, applicants should obtain a quotation identifying which services are included and which are excluded.

9. Is NTN Registration Included?

Company incorporation and tax compliance are related but separate matters.

SECP's incorporation process supports integration with the Federal Board of Revenue (FBR), but the company should still verify its tax registration particulars.

An applicant should understand that:

  • A company requires appropriate income-tax registration.
  • Company information submitted to tax authorities must be accurate.
  • Sales tax registration is not mandatory for every business.
  • Sales tax requirements depend on the activity and relevant federal or provincial laws.
  • Annual tax and corporate compliance generally continue after incorporation.

10. Company Registration for Overseas & Foreign Investors

Overseas Pakistanis and foreign investors may face additional documentation requirements.

These can include:

Passport and identification documentation.

Overseas signatures or authorized representatives.

Document attestation or legalization.

Foreign corporate shareholder records.

Beneficial ownership information.

Special regulatory approvals, where required.

The ordinary SECP statutory incorporation fee is not necessarily higher simply because a shareholder lives overseas.

However, additional legal work or documentation can increase the overall professional cost.

11. How to Get an Accurate Company Registration Quotation

Before requesting a final fee quotation, provide the following details:

  • Company type: Single Member Company or Private Limited.
  • Authorized share capital: For example, Rs. 100,000 or Rs. 1 million.
  • Number of directors: Two, three, four or more.
  • Number of shareholders: Including their proposed shareholding percentages.
  • Business activity: Trading, consultancy, services, manufacturing or another activity.
  • Residence of owners: Pakistan or overseas.
  • Additional requirements: NTN follow-up, sales tax registration, licences or customized legal documents.

With this information, a professional can explain the statutory charges, estimated expenses and professional fees separately.

No. The Rs. 5,000 figure in this guide is the firm's additional professional charge for each director above three. It is not a standard SECP per-director incorporation tariff.
